CUSTOMER TERMS & CONDITIONS

These Terms and Conditions ("Terms") govern your use of the payment facilitation services provided by MARITIMEPAY LTD ("MaritimePay," "we," "us," or "our"). By registering for an account or using our services, you ("Customer," "you," or "your") agree to be bound by these Terms.

1. Definitions

  • "Agreement" means these Terms, our Privacy Policy, and any schedules or appendices incorporated by reference.

  • "Applicable Law" means all laws, regulations, rules, directives, and official guidance applicable in the United Kingdom, the European Union, the United States, and any other jurisdiction relevant to a Transaction, including but not limited to anti-money laundering, counter-terrorist financing, sanctions, data protection, and consumer protection laws.

  • "Corpay" means Cambridge Mercantile Corp. (U.S.A.) and its affiliated entities, the licensed provider of the underlying Payment Services.

  • "Payment Services" means the cross-border payment and foreign exchange execution services provided by Corpay.

  • "Platform" means the online interface provided by MaritimePay through which you can instruct and manage Payment Services.

  • "Transaction" means any payment instruction submitted by you through the Platform.

2. About MaritimePay and Our Role

2.1. Corporate Details: MaritimePay is a private limited company incorporated in England and Wales with company number 16851216 and registered office at Francis House, 2 Park Road, High Barnet, Barnet, England, EN5 5RN.

2.2. Our Role as Your Agent: You expressly acknowledge that MaritimePay is not a licensed money transmitter. We are a technology and client management platform. We act as your commercial agent to facilitate your access to Payment Services provided by Corpay, a duly licensed financial institution. All regulated money transmission and foreign exchange services (the “Corpay Services”) are provided solely by Cambridge Mercantile Corp. (U.S.A.) and its affiliates (collectively, “Corpay”).

2.3. Contractual Relationship: To use the Corpay Services, you must be onboarded as a direct client of Corpay. Your use of those services is governed by Corpay’s own account terms found at https://cross-border.corpay.com/tc/.
You authorize MaritimePay to initiate the account opening process with Corpay on your behalf. MaritimePay is not a party to your contractual relationship with Corpay.

 

 

3. Eligibility, Onboarding and Account Registration

3.1. You represent and warrant that:

  • You are a business entity (and not an individual consumer) duly organized and in good standing under the laws of your jurisdiction.

  • You have the full power and authority to enter into this Agreement and the individuals signing for your account have the legal authority to bind your company.

  • The information you provide during registration (including information about your directors, ultimate beneficial owners, and nature of business) is complete, accurate, and up-to-date.

  • Your use of our services is for lawful business purposes only.

3.2 Information Requirements: You agree to provide all "Required Information" necessary for us and Corpay to verify your identity, business nature, and the identity of your payees.

 

4. Your Obligations

4.1. Accurate Instructions: You are solely responsible for the accuracy and completeness of all Transaction instructions (including beneficiary details) submitted via the Platform. You are bound by all instructions received from your designated Authorized Representatives.

4.2. Funding: You must ensure sufficient cleared funds are available in your designated funding account prior to the execution of any Transaction. All funds for transactions must originate from a bank account owned by you. By using this platform, you grant MaritimePay the authority to relay your instructions to Corpay and to facilitate the debiting of your designated bank account(s) for the total value of each Transaction and all associated Fees.

4.3. Security: You must keep your login credentials secure and immediately notify us of any unauthorized access or suspicious activity.

 

5. Compliance and Restrictions

5.1 General Compliance: You must comply with all Applicable Law. You warrant that no Transaction will involve prohibited parties, activities or sanctioned jurisdictions as defined by Corpay (which may be updated from time to time).

5.2 Prohibited Activities: You agree not to use the platform for any payments related to: tax refunds to third parties; virtual currency or online gaming/gambling; illegal substances, firearms, or human organs; pornography or materials inciting hatred/violence; internet pharmacies or payday loans; or any other activity that Corpay reasonably deems high-risk or likely to violate its policies.

5.3 Prohibited and High-Risk Countries: You expressly warrant that you will not use the services to initiate any Transaction, directly or indirectly, involving a country, territory, region, or individual/entity subject to comprehensive economic sanctions or embargoes administered by the UK, EU, U.S., or UN.

All services are subject to Corpay's High-Risk Countries policy. As of the date of these Terms, this policy categorically prohibits payments to the following jurisdictions: Cuba, Iran, Syria, North Korea, the Crimea, Donetsk, and Luhansk regions of Ukraine, Russia, and Belarus.

Furthermore, payments to the following jurisdictions are deemed High-Risk, require additional information and documentation on a case-by-case basis, and are subject to delay or refusal: Afghanistan, Burma (Myanmar), Central African Republic, Democratic Republic of Congo, Iraq, Lebanon, Libya, Palestinian Territory, Somalia, South Sudan, Sudan, Ukraine, Venezuela, Yemen, and Zimbabwe.

This list is not exhaustive and may be updated by Corpay at any time, acting reasonably and without notice, to reflect changes in law, regulation, or risk assessment. It is your responsibility to ensure your Transactions comply with the most current policy.

5.4 Right to Refuse and Consequences: Corpay reserves the absolute right to refuse, suspend, or reverse any payment it deems high-risk, non-compliant, or in violation of its internal policies or Applicable Law. Any attempt to process such a transaction constitutes a material breach of this Agreement, entitling MaritimePay or Corpay to terminate your access immediately. You bear full responsibility for all losses, fines, or penalties arising from your violation of this section. 

5.5 Cooperation with Checks: You must promptly provide any information or documentation we or Corpay reasonably request to fulfil our regulatory obligations, including "Know Your Customer" (KYC), "Customer Due Diligence" (CDD), and sanctions screening.

5.6 Regulatory Inspections: You agree to cooperate fully with and permit inspections by Corpay’s regulators, or other competent authorities, to the extent lawfully required in connection with the services provided hereunder.

6. Services, Fees, and Exchange Rates

6.1. Service Description: We will facilitate your instructions for Payment Services through the Platform. Execution times, cut-offs, and availability are subject to Corpay's operating procedures and external factors (e.g., banking hours, weekends).

6.2. Fees: You agree to pay the fees as displayed on the Platform at the time of each Transaction ("Fees"). All Fees are non-refundable unless a Transaction fails due to our or Corpay's error.

6.3. Exchange Rates: For foreign exchange Transactions, the rate will be the rate quoted by Corpay and displayed to you on the Platform at the point you confirm the Transaction. Rates are not guaranteed until a Transaction is confirmed and may fluctuate.

7. Liability and Disclaimers

7.1. Our Liability is Limited: To the maximum extent permitted by law:

  • We are not liable for any delays, failures, or losses arising from the actions or omissions of Corpay, banking partners, intermediary banks, telecommunications failures, or force majeure events.

  • We are not liable for any indirect, consequential, or special damages, including loss of profit, revenue, or business opportunity.

  • Our total aggregate liability to you for any and all claims arising under this Agreement shall be limited to the total Fees you paid to us in the six (6) months preceding the event giving rise to the claim.

7.2. No Warranty: The Platform and our facilitation services are provided "as is" and "as available." We disclaim all warranties, express or implied.

8. Indemnification

You agree to indemnify, defend, and hold harmless MaritimePay, its directors, officers, and affiliates from any claims, losses, liabilities, damages, or costs (including legal fees) arising from: (a) your breach of this Agreement; (b) your violation of any Applicable Law; or (c) your negligent or wrongful acts or omissions.

9. Termination and Suspension

9.1. Either party may terminate this Agreement for any reason by providing thirty (30) days' written notice.

9.2. We may suspend your access to the Platform or terminate this Agreement immediately if:

  • We suspect fraud, money laundering, terrorist financing, or a breach of sanctions.

  • You fail to pay any amount when due.

  • You breach any provision of this Agreement.

  • We or Corpay are required to do so to comply with Applicable Law.

9.3. Termination does not affect any rights or obligations that accrued prior to termination.

10. Data Protection and Privacy

10.1. We will process your personal data in accordance with our Privacy Policy (available on our website) and as a data controller under UK GDPR.

10.2. You acknowledge and consent that we will share your personal and transactional data with Corpay and other necessary third parties (e.g., auditors, regulators) as required to provide the services, manage risk, and comply with Applicable Law.

11. General Provisions

11.1. Amendments: We may amend these Terms at any time by posting the revised version on our website. Your continued use of the services constitutes acceptance.

11.2. Governing Law and Jurisdiction: This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11.3. Assignment: You may not assign this Agreement. We may assign it to any affiliate or successor in connection with a merger or sale of assets.

11.4. Severability: If any provision is found invalid, the remainder of the Agreement remains in full force.

11.5. Notices: Notices will be sent to the email address associated with your account.

11.6. Force Majeure: We are not liable for failure to perform due to causes beyond our reasonable control.

11.7. Third Party Rights: Only you and MaritimePay have rights under this Agreement. The Contracts (Rights of Third Parties) Act 1999 is excluded.
